Merchant Terms of Service.

1. Introduction

These Merchant Terms of Service ("Terms") govern your use of ServicePorte (the "Platform") as a Merchant to create storefronts, accept payments, manage orders, use QR ordering, appear in vendor discovery, and access logistics services. By registering as a Merchant or otherwise using ServicePorte for business purposes, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Definitions

Merchant: A registered user who creates a storefront to sell products or services on ServicePorte.

Customer: A registered user who browses, orders, or purchases from a Merchant's storefront.

Platform: The ServicePorte website, mobile applications, APIs, and related services.

Storefront: A Merchant's page on ServicePorte listing products, services, pricing, and availability.

QR Ordering: ServicePorte's feature allowing Customers to place orders by scanning a Merchant's QR code.

Payment Partner: A licensed third-party provider that processes payments and settlements on behalf of ServicePorte.

Logistics Partner: A third-party delivery provider coordinated through ServicePorte Logistics.

3. Eligibility & Account Creation

Merchants must have the legal authority to operate the business they register on the Platform.

Merchants must provide accurate, complete, and current registration and business information.

ServicePorte may require identity or business verification before activating a Merchant account.

Merchants are responsible for safeguarding account credentials and for all activity under their account.

4. Storefronts & Listings

Merchants are solely responsible for the accuracy of their product descriptions, pricing, inventory levels, images, and the legality of items listed. Merchants must ensure listed products and services do not infringe the intellectual property or other rights of any third party, and must comply with ServicePorte's Acceptable Use Policy at all times.

5. Orders & QR Ordering

Customers may place orders directly through a Merchant's storefront or via QR Ordering. Once an order is placed and confirmed, the Merchant must fulfill it in accordance with the listed description, pricing, and any stated timelines, unless the order is validly cancelled under Section 8.

6. Payments & Settlement

All payments on ServicePorte are processed through licensed Payment Partners. ServicePorte does not directly hold Merchant funds outside of standard settlement processing. ServicePorte may deduct applicable transaction and service fees before settling funds to the Merchant's designated account, in accordance with Section 9.

7. Logistics

Where a Merchant opts into ServicePorte Logistics, delivery of orders is coordinated through third-party Logistics Partners. ServicePorte facilitates this coordination as an intermediary and is not itself the carrier of goods.

8. Cancellations

A Customer or Merchant may cancel an order before fulfillment has begun, subject to the Platform's cancellation policies. Where a Merchant has already begun fulfilling an order, cancellation may be subject to a fee, the amount of which will be specified within the Platform's policies.

9. Fees

ServicePorte charges applicable transaction and service fees on completed sales, as disclosed within the Platform at the time of listing or checkout. Fees may be updated from time to time, with prior notice provided to Merchants before any change takes effect.

10. Merchant Responsibilities

  • Fulfill valid orders accurately and within any stated timelines
  • Comply with all applicable Nigerian laws and ServicePorte policies
  • Maintain accurate storefront, pricing, and business information at all times
  • Provide responsive, quality customer service to Customers
  • Cooperate with ServicePorte in resolving disputes or investigations

11. Disputes

ServicePorte is not liable for disputes or conflicts between Merchants and Customers arising from transactions or communications that occur outside the Platform. Merchants and Customers are encouraged to resolve disputes directly in good faith, with unresolved matters reportable through ServicePorte's official support channels.

12. Intellectual Property

Merchants retain ownership of their storefront content, branding, and product intellectual property, and grant ServicePorte a limited license to display such content on the Platform for the purpose of operating the Merchant's storefront and related discovery features.

13. Prohibited Activities

If fraudulent or prohibited activity is detected, ServicePorte may suspend or terminate the Merchant account involved and report the activity to the appropriate authorities.

  • Selling illegal goods, counterfeit products, or stolen property
  • Selling prohibited weapons, explosives, or narcotics
  • Fraudulent listings, services, or transactions
  • Any goods or activity prohibited under Nigerian law or ServicePorte's Acceptable Use Policy

14. Suspension & Termination

ServicePorte may suspend or terminate a Merchant account at any time for fraud, policy violations, illegal activity, or abuse of the Platform. A Merchant may terminate their account at any time by following the instructions on the Platform, subject to settlement of any outstanding orders or obligations.

15. Limitation of Liability

The Platform is provided "as is." ServicePorte is not responsible for Merchant products, Customer disputes, or the failure of third-party Logistics or Payment Partners, except as required by applicable law.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Disputes arising under these Terms shall first be resolved through good-faith negotiation before litigation.

17. Changes

ServicePorte may update these Terms from time to time. Continued use of the Platform as a Merchant after such updates constitutes acceptance of the revised Terms.
