These Terms of Service ("Terms") govern your access to and use of ServicePorte (the "Platform"), including its storefronts, payments, order management, QR ordering, vendor discovery, and logistics services. By accessing or using ServicePorte, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
Merchant: A registered user who creates a storefront to sell products or services on ServicePorte.
Customer: A registered user who browses, orders, or purchases from Merchants on ServicePorte.
Platform: The ServicePorte website, mobile applications, APIs, and related services.
QR Ordering: ServicePorte's feature allowing Customers to place orders by scanning a Merchant's QR code.
Logistics Partner: A third-party delivery provider coordinated through ServicePorte Logistics. Payment Partner: A licensed third-party provider that processes payments on ServicePorte.
Users must create an account by providing accurate and complete registration information. Merchants must have the authority to operate the business they register on the Platform. Users are responsible for safeguarding account credentials and all activity under their account.
Merchants are responsible for product descriptions, pricing, inventory, images, and legality of listed items.
Customers may browse storefronts, place orders, and use QR ordering to order directly from a Merchant.
Merchants must fulfill valid orders promptly and provide accurate, up-to-date business information.
Payments on ServicePorte are processed through licensed Payment Partners. ServicePorte may deduct applicable transaction and service fees before settlement to the Merchant. Fees are disclosed within the Platform and may change with prior notice.
Where a Merchant opts into ServicePorte Logistics, delivery is coordinated through third-party Logistics Partners. ServicePorte facilitates this coordination but does not itself perform delivery.
Customers or Merchants may cancel an order in accordance with the Platform's cancellation policies. Where a Customer cancels after a Merchant has begun fulfillment, a cancellation fee may apply as specified in the Platform's policies.
ServicePorte is not liable for disputes between Merchants and Customers arising from transactions or communications that occur outside the Platform. Merchants and Customers are encouraged to attempt good-faith resolution directly, and may report unresolved issues through ServicePorte's official support channels.
Merchants retain ownership of their product content, branding, and intellectual property, and are responsible for ensuring it does not infringe the rights of others. Customers may not copy, reproduce, or misuse content from the Platform without authorization.
ServicePorte may suspend or terminate any account at any time for fraud, policy violations, illegal activity, or platform abuse. Users may terminate their own account at any time by following the instructions on the Platform.
ServicePorte is provided "as is." ServicePorte is not responsible for Merchant products, Customer disputes, or third-party Logistics or Payment Partner failures, except as required by law.
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be resolved through good-faith negotiation before litigation.
ServicePorte may update these Terms from time to time. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
